listing at ~2.4x or handing it to my two biggest customers for free Handover

$1.9k MRR, niche internal tool, 26 accounts. Two of them are 55% of revenue and both have asked, separately and unprompted, whether they could "just take it over".

A marketplace valuation puts me around 2.4x annual profit, call it $42k before fees, plus six to eight weeks of diligence and migration with a stranger.

Handing it to those two costs me nothing and takes a weekend. Am I insane for considering that?

    Whatever the number is, the contract does the real work. Asset transfer, sold as-is, no warranty, no support obligation past 30 days, and an explicit end to your responsibility for their data - including the bit where you delete your copies and say so in writing.

    Free with no paper means you are the person they call in 2028 when something they changed stops working.

    Mechanics people forget until the week of:

    • payment processor accounts do not transfer between legal entities. New account on their side, and customers either re-enter payment methods or you go through the provider's documented migration process, which takes weeks
    • domain, DNS, and the email sending domain, which has reputation attached to it that does not move
    • every API key in a .env you have not looked at since 2022
    • any store listings, if there are apps
    • who answers support@ on day 31

    They asked because they are frightened of it vanishing. Price it as insurance rather than as software and the conversation goes completely differently.

    You can transfer the payment account, support does it all the time - open a ticket, change the bank details and the business entity and it is done.

      Changing bank details on your account is not transferring the account to another company, and doing the former to fake the latter is how accounts get frozen with a balance sitting in them. There is a real documented path for moving customers and stored payment methods between two accounts, and that is the one to ask about. It takes weeks and it involves both sides.

    Split the difference. Sell to the two of them jointly for a modest number, repo owned by both, one weekend of handover. Less than a marketplace, a tenth of the work, and the other 24 accounts get continuity instead of a shutdown email.
